PARTNERSHIP AGREEMENT

This Partnership agreement (hereinafter referred to as “Partnership agreement”) is an offer of UMNICO Limited for all persons to conclude a partnership (agency) agreement about selling Umnico web modules and Umnico mobile applications (hereinafter collectively referred to as “Umnico” or “Products”) to third parties within features stated below.

1. DEFINITIONS

1.1. For the purpose of uniform interpretation, main definitions (clause 1.2.) are used in meanings below.

1.2. Main definitions

1.2.1. Distributor (The Principal): Umnico Limited. A company authorized to sell non-exclusive licenses on Products.

1.2.2. Confidential information — personal data, other information directly or indirectly related to Users and / or Visitors of Umnico.

1.2.3. Integration — Connection of one third-party’s online service defined at https://umnico.com/payment/ to one “Manager” profile.

1.2.4. Umnico User (Licensee) — a person or legal entity who has registered a Umnico personal profile. Hereinafter referred to as “User” or “Licensee”, collectively referred to as “Users”.

1.2.5. Personal profile — section “Fresh” of Umnico, by creating which, Users accept Privacy Policy and this EULA, acquire the right to connect Integrations. Posted at https://umnico.com/app/deals/inbox/.

1.2.6. Owner — user with newly registered Umnico profile and capability to set limits of Umnico usage for Administrators and Managers.

1.2.7. Administrator — user of Umnico connected to certain Owner’s profile and capability to set limits of Umnico usage for Managers.

1.2.8. Manager — user of Umnico connected to certain Owner’s profile and certain Administrator’s profile with basic features and without capability to set limits of Umnico usage.

2. UMNICO. CHARACTERISTIC OF MULTIMEDIA PRODUCT

2.2.5.Umnico AmoCRMA part of a multimedia product created for integration with the amoCRM module, executing commands specified by any of the programs from clauses. 2.2.1 — 2.2.3.See clause 2.2.1.

2.3. Integration with 1C-Bitrix module is carried out in accordance with the General Terms and Conditions of the 1C-Bitrix Marketplace project, which are posted at the following hyperlink: https://partners.1c-bitrix.ru/upload/bitrix_marketplace.pdf.

2.4. By purchasing the right to use the Integration with the 1C-Bitrix module, User concludes a license agreement in the form established in Appendix No. 1 to the General Terms and Conditions of the 1C-Bitrix Marketplace project (link is specified in clause 2.3).

2.5. The Licensor guarantees having the exclusive right to use Umnico and owning both the entire software package as a whole, and components of Umnico.

3. SUBJECT OF THE AGREEMENT

3.1. Any Visitor who has registered a personal Umnico account concludes a partnership (agency) agreement in the status of an Agent. As a result, each registered User gets access to the “Partnership” section at the following address: https://umnico.com/partnership.

3.2. The User accepts this agreement at the moment of provision of a link for registering Umnico’s personal profile (hereinafter referred to as the Promoter) to legal entity or sole entrepreneur.

3.3. Promoter acts on behalf of and at the expense of the Principal by providing a link to register a Umnico personal profile to a legal entity or sole entrepreneur.

3.4. All Users registered personal profile accepts this partnership (agency) agreement; receive the status of a Promoter. Status of an integrator partner requires the fulfillment of conditions stated in section 4, after contacting technical support and confirmation from technical support.

3.5. To receive status of Integrator-partner any Promoter should file an inquiry to technical support to get special access to special Umnico software components.

3.6. In the text of this agreement, Promoters and Integrator Partners are collectively referred to as “Agents”, in cases where their general rights and / or obligations are indicated.

4. AGENT'S COMMISSION

4.1. General conditions that define the amount of agency fee for Promoters and Partners — integrators are stated via the following web link: https://umnico.com/payment/ and below.

4.1.1. The number of integrations of a new User that registered Umnico personal profile using Promoter’s link, or connected to Umnico on the terms of a separate agreement. Integration prices are presented at https://umnico.com/payment.

4.1.2. Payment period for the new User.

4.1.3. The amount of payments made by a new User who has connected via referral link provided by Promoter or Integrator Partner.

4.1.4. Money collected as an agency fee are paid to Promoters, Integrator Partners within 7 (seven) days on a weekly basis according to an inquiry submitted through the Umnico personal profile and the “Partnership” section.

4.1.5. The minimum amount of the agency fee that can be withdrawn from the User’s personal profile is at least 60 (sixty) US dollars.

4.1.6. The moment of payment is defined as the moment of receipt of money by the Principal, Promoters and Partners-integrators.

4.1.7. To receive accounting documents signed and stamped by the Principal, please, file an inquiry using contacts stated in section 7 of this agreement.

4.2. Terms and conditions of payments to Promoters

4.2.1. Third party (Legal entity or sole entrepreneur) registered Umnico’s personal profile using the referral link provided by Promoter from the “Partnership” section.

4.2.2. A newly registered User made payments for Umnico product or products using a referral link in accordance with the Umnico User Agreement.

4.2.3. If clauses 4.2.1 and 4.2.2 are fulfilled, Promoter receive 15 (fifteen)% of all payments made by newly registered users paid via Promoter’s referral link.

4.3. Terms and conditions of payments to partners-integrators

4.3.1. Third party (Legal entity or sole entrepreneur) registered Umnico’s personal profile using the referral link provided by Integrator-partner from the “Partnership” section.

4.3.2. Status of Integrator-partner is confirmed by the Principal.

4.3.3. Newly registered user paid for Umnico’s products more than 10 US dollars.

4.4. Grades of Integrator Partners

4.4.1. Integrator acquired 1-9 new clients for Principal using a special referral link. In that case Integrator receives 30 % of new clients’ payments.

4.4.2. Integrator acquired 10-19 new clients for Principal using a special referral link. In that case, Integrator receives 45 % of new clients’ payments.

4.4.3. Integrator acquired 20 or more new clients for Principal using a special referral link. In that case, Integrator receives 60 % of new clients’ payments.

5. RIGHTS AND OBLIGATIONS OF AGENTS

5.1. Agents’ rights

5.1.1. An agent, regardless of status, has the right to claim for agency fee in the amount defined according to section 4 of this agreement.

5.1.2. Use the name or trademarks connected to Umnico only for selling Umnico’s products and strictly according to this agreement.

5.1.3. Receive latest information about payments from Users who registered their Umnico’s personal profile using referral links of Agents.

5.2. Agents’ obligations

5.2.1. To act in a good faith, including but not limited: provide referral links only for real legal entities or sole entrepreneurs.

5.2.2. Do not break this agreement, including, but not limited: creating Users’ profiles that do not exist in reality is prohibited.

5.2.3. Do not use Umnico’s name or trademarks for the purposes of unfair competition with the Principal, for any purposes that are not related to this agreement, including but not limited: using keywords in Google Ads that include the name of Umnico or connected trademarks is prohibited.

6. RIGHTS AND OBLIGATIONS OF THE PRINCIPAL

6.1. Rights of the Principal

6.1.1. Access to the Umnico functionality is provided by the Principal “as it is” and as it is provided via https://umnico.com.

6.1.2. To refuse payment to the agent that didn’t act in a good faith, for example, if referral links are provided to fake legal entities or sole entrepreneurs.

6.2. Obligations of the Principal

6.2.1. To pay agency fees to Promoters and Integrator Partners if terms of this agreement are not violated.

7. USERS’ INQUIRES. DISPUTE RESOLUTION

7.1. The distributor of Umnico in the European Economic Area is Umnico Limited.

7.4. All disputes including, but not limited to breach of contract by parties of this EULA, its conclusion, termination, or contractors’ performances should be resolved through negotiations or according to the Law of England.

7.5. Umnico Limited will do all the best to help User and provide a response on Inquiry in less than 25 (twenty-five) calendar days from the date of its receipt.
